1. Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of salespadhub.com (the “Site”) and the services provided by Northstar Network LLC, operating as “SalesPad Hub” (“SalesPad Hub,” “we,” “us,” or “our”). By accessing or using the Site or the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Site or the Services.

You represent that you are at least 18 years old and have the authority to enter into these Terms, on behalf of yourself and, where applicable, the business you represent.

2. Our Services

SalesPad Hub provides done-for-you, AI-powered sales, marketing, and communication services to businesses. Our current offerings include:

  • SalesPad Connect — AI-assisted answering of calls, chats, and messages, appointment booking, and lead follow-up, operated for you with a human team.
  • SalesPad Reach — local marketing services, including online visibility, listings management, review management, content, and, where offered, lead generation.
  • SalesPad Commerce — online-store support services, including an AI shopping assistant, content, order follow-up, and, under our “Commerce Launch” offering, building and operating an online store on your behalf.

We combine artificial-intelligence software with a human team that sets up and runs the Services. The Site provides general information about the Services and is not itself the agreement under which we deliver them.

3. The Service Agreement Controls

The specific scope, deliverables, fees, billing, and other commercial terms of any engagement are set out in a separate written agreement between you and SalesPad Hub (the “Service Agreement”). The Site — including descriptions, feature lists, and pricing tiers — is provided for general information only, may change at any time, and does not constitute an offer, a binding quote, or a guarantee. Pricing and terms shown on the Site are illustrative; your actual pricing and terms are determined and agreed with you directly.

If there is any conflict between these Terms and a signed Service Agreement, the Service Agreement controls with respect to that engagement.

4. “You Don’t Pay Until It Works”

Our model is that we build, set up, and demonstrate the Services at our own cost, and you begin paying only once the agreed result is delivered. The precise definition of the result that triggers billing, together with all fees, any usage-based charges, minimums, caps, and billing and cancellation terms, is set out in your Service Agreement — not on the Site. Nothing on the Site, and nothing in these Terms, is a promise or guarantee of any particular result, number of calls, appointments, leads, sales, rankings, revenue, or profit.

5. Accounts and Access

If you register for an account, client dashboard, or similar access, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us promptly at support@salespadhub.com of any unauthorized use of your account or any other security concern.

6. Client Responsibilities and Acceptable Use

If you engage the Services for your business, you agree that:

  • Accurate information. You will provide accurate and complete information reasonably required for us to deliver the Services.
  • Consent and lawful contact. You have obtained, and will maintain, all consents and permissions required for any contact lists, telephone numbers, customer records, or other data you provide to us or that we process on your behalf. Your use of the Services, and any communications sent on your behalf, will comply with all applicable laws and regulations, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, applicable state calling and messaging laws, and applicable privacy laws. You are responsible for the consent status of the recipients of communications sent in connection with your account.
  • Content. You are responsible for the content you provide and approve for publication, and for ensuring it is accurate, lawful, and does not infringe the rights of others.
  • Prohibited use. You will not use the Services for any unlawful, fraudulent, deceptive, harassing, defamatory, or abusive purpose; to send unsolicited or unlawful messages (spam); to distribute malware; to infringe intellectual-property or privacy rights; or in any way that could damage, disable, or impair the Services.

You agree to indemnify, defend, and hold harmless SalesPad Hub and its owners, officers, employees, and service providers from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your breach of this Section 6 or your misuse of the Services, to the fullest extent permitted by law. 

7. Third-Party Accounts, Payment Processing, and Funds

  • Your accounts and funds. Where the Services involve your business’s own accounts — including your website, domain, advertising accounts, payment processor, and store — those accounts and any funds received through them belong to you. For SalesPad Commerce and Commerce Launch, customer payments are received into your own payment-processor account and paid to you directly; SalesPad Hub does not take possession of your customers’ payments. 
  • Advertising spend. Where we manage or fund advertising as described in your Service Agreement, the terms governing ad budgets, management, and any per-result charges are set out in that Service Agreement.
  • Payment to SalesPad Hub. Amounts you owe SalesPad Hub are billed and paid as described in your Service Agreement, through our third-party payment processor (such as Stripe). You authorize us to charge the payment method you provide for amounts due.

8. Data Ownership and Handling

As between you and SalesPad Hub, and subject to your Service Agreement:

  • You own your business data and assets — including your website, domain, business and advertising accounts, customer records, reviews, and content. We do not claim ownership of them.
  • Return or deletion. On termination, we will make your data available to you and/or delete it as described in your Service Agreement.
  • Our platform. We own and retain all rights in the SalesPad Hub platform, software, systems, methods, know-how, templates, and brand, and in any general improvements to them. Nothing in these Terms transfers ownership of our platform to you.
  • Processing on your behalf. Where we process your customers’ personal information to deliver the Services, we do so as your service provider, as described in our Privacy Policy, and you remain responsible for your own privacy obligations to your customers.

9. Intellectual Property

The Site and its contents — including the “SalesPad Hub” and “SalesPad” names and logos, and all text, graphics, designs, and software — are owned by or licensed to SalesPad Hub and are protected by intellectual-property laws. Except as necessary to use the Services as intended, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the Site or Services without our prior written permission.

If you provide us with feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

10. Third-Party Services

The Services rely on third-party platforms and providers, including without limitation GoHighLevel, telephony and SMS providers, payment processors, e-commerce platforms (such as Shopify and WooCommerce), and advertising platforms. Your use of those third-party services may be subject to their own terms and policies. We are not responsible for the acts, omissions, availability, or performance of third-party services.

11. Disclaimers

THE SITE AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that they will produce any specific result, including any particular number of calls answered, appointments, leads, sales, rankings, or amount of revenue. Any results, examples, or figures referenced on the Site are illustrative only and are not promised or guaranteed.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SALESPAD HUB AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SALESPAD HUB ARISING OUT OF OR RELATING TO THE SITE OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO SALESPAD HUB FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). 

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification by You

In addition to Section 6, you agree to indemnify, defend, and hold harmless SalesPad Hub and its owners, officers, employees, and service providers from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) content or data you provide or approve; (c) your violation of these Terms or your Service Agreement; or (d) your violation of any law or the rights of any third party, including in connection with communications sent on your behalf. 

14. Term and Termination

You may stop using the Site at any time, and you may terminate the Services as provided in your Service Agreement. We may suspend or terminate your access to the Site or the Services, in whole or in part, if you breach these Terms or your Service Agreement, if required by law, or to protect the Services or other users. On termination, the provisions of these Terms that by their nature should survive — including Sections 6 through 13, and Sections 15 through 18 — will survive.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-laws principles. 

16. Dispute Resolution; Venue

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by [ARBITRATION BODY] under its rules, on an individual basis, and you and SalesPad Hub waive the right to a jury trial and to participate in a class action. 

17. Changes to the Services and to These Terms

We may modify or discontinue any part of the Site or the Services at any time. We may also update these Terms from time to time; when we do, we will post the updated version and update the “Last updated” date above. Your continued use of the Site or the Services after the changes take effect constitutes your acceptance of the updated Terms. Material changes affecting an active engagement will be handled as provided in your Service Agreement.

18. General

  • Entire agreement. These Terms, the Privacy Policy, and any applicable Service Agreement constitute the entire agreement between you and SalesPad Hub regarding the Site and the Services and supersede prior understandings on that subject.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No waiver. Our failure to enforce any provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Relationship. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and SalesPad Hub.
